3. Exclusions. Information that is publicly available, independently developed, or rightfully received from a third party is not subject to this agreement.
4. Term. 24 months from execution. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law.
5. Governing law. Delaware, USA. Disputes are resolved in the competent courts of Delaware unless otherwise agreed in writing.
